Terms of Service

Please read these terms carefully before using NexusPoint. They govern your access to and use of our platform and services.

1. Acceptance of Terms

By accessing, browsing, or using NexusPoint ("the Platform", "Service", "we", "us", or "our"), including any associated APIs, dashboards, websites, and documentation hosted at nexuspoint.ai, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms").

  • If you are using NexusPoint on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
  • If you do not agree to these Terms, you must immediately cease all use of the Platform.
  • We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or in-platform notifications at least 15 days prior to taking effect. Your continued use of the Platform after such modifications constitutes acceptance of the revised Terms.
  • It is your responsibility to review these Terms periodically for changes.

2. Description of Service

NexusPoint is an AI-powered computer vision platform that provides access to the following services through a unified web dashboard and RESTful API:

Background Removal
General Classification (1000+ categories)
NSFW Content Detection
Places Classification
Object Detection (bounding boxes)
Instance Segmentation (pixel masks)
Pose Estimation (17 body key points)
Text Recognition / OCR (multi-language)
  • AI processing is performed by third-party providers (currently SentiSight.ai). NexusPoint acts as an intermediary platform and does not directly operate the underlying AI models.
  • We reserve the right to add, modify, discontinue, or replace any feature, AI model, or third-party provider at any time, with or without notice.
  • Service availability is targeted at 99.9% uptime, but is not guaranteed. We do not provide Service Level Agreements (SLAs) unless separately negotiated in writing.

3. User Accounts & Security

3.1 Registration

  • You must create an account to access NexusPoint services. Registration requires a valid email address, first name, last name, and a password of at least 8 characters.
  • You must provide accurate, current, and complete information during registration and keep it updated.
  • Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions, abuse free credits, or for any fraudulent purpose is strictly prohibited.
  • Upon registration, you receive 50 free credits as a one-time welcome bonus.

3.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your account credentials, including your password and all API tokens.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • You must notify us immediately at support@nexuspoint.ai if you become aware of any unauthorized use of your account or any security breach.
  • NexusPoint will never ask for your password via email or support channels.

3.3 API Tokens

  • API tokens provide programmatic access to NexusPoint services. You may create up to 10 tokens per account.
  • API tokens carry the same privileges as your dashboard session. You are fully responsible for any usage incurred through your tokens.
  • Tokens must be kept confidential. Do not embed tokens in client-side code, public repositories, or shared environments.
  • We reserve the right to revoke any API token at any time if we detect misuse, abuse, or a security risk.

4. Credits, Billing & Refunds

4.1 Credit System

  • NexusPoint operates on a credit-based, pay-as-you-go model. There are no subscriptions or recurring charges.
  • Each AI feature call costs 1 credit, regardless of the feature type or image complexity.
  • Credits are consumed upon successful processing of a request. If a processing error occurs on our end, credits are not deducted.
  • Credits do not expire as long as your account remains active and in good standing.

  • All prices are in US Dollars (USD) and are exclusive of any applicable taxes, duties, or levies imposed by your jurisdiction.
  • We reserve the right to change pricing at any time. Price changes will not affect previously purchased credits.

4.3 Payment Processing

  • All payments are processed securely through Stripe, Inc., a PCI-DSS Level 1 certified payment processor.
  • NexusPoint does not collect, store, or have access to your full credit card numbers. All card data is handled exclusively by Stripe.
  • By making a purchase, you authorize Stripe to charge your selected payment method for the amount specified.
  • Credits are added to your account immediately upon successful payment confirmation.

4.4 Refund Policy

  • Unused credits may be refunded within 30 days of purchase upon request to support@nexuspoint.ai. No questions asked.
  • Consumed credits are non-refundable. Only the unused portion of a credit purchase is eligible for refund.
  • Refund processing takes 5–10 business days to appear on your statement.
  • If a refund is issued, the corresponding credits will be deducted from your account balance. If your balance is insufficient, it may become negative and must be resolved before further use.
  • Abuse of the refund policy (repeated purchases and refund requests) may result in account suspension.

5. Acceptable Use Policy

You agree to use NexusPoint only for lawful purposes and in accordance with these Terms. You must NOT:

5.1 Prohibited Content

  • Upload, transmit, or process images containing child sexual abuse material (CSAM) or any content depicting the exploitation of minors.
  • Use the Platform to process content that violates any applicable local, state, national, or international law or regulation.
  • Use AI features to generate, facilitate, or distribute content that is defamatory, obscene, threatening, harassing, or that promotes violence, discrimination, or illegal activity.
  • Process images containing personal biometric data (facial recognition, iris scans) without the explicit consent of the data subjects and compliance with all applicable biometric privacy laws.

5.2 Prohibited Activities

  • Attempt to gain unauthorized access to NexusPoint systems, servers, databases, or other user accounts.
  • Reverse-engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms of NexusPoint.
  • Use automated tools, bots, scrapers, or other means to access the Platform in a manner that exceeds reasonable use or places undue load on our infrastructure.
  • Circumvent, disable, or interfere with security features, rate limits, authentication mechanisms, or credit verification systems.
  • Resell, sublicense, or redistribute NexusPoint services or API access without our express written consent.
  • Create multiple accounts to exploit free credits or any promotional offers.
  • Use NexusPoint for any purpose that competes directly with NexusPoint services.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5.3 Rate Limits & Fair Use

  • We may implement and enforce rate limits on API calls to ensure fair access for all users and protect platform stability.
  • Excessive usage patterns that negatively impact other users or platform performance may result in temporary throttling, suspension, or termination of your account.

6. Intellectual Property

6.1 NexusPoint IP

  • All content, logos, trademarks, trade names, service marks, designs, code, documentation, and visual elements of NexusPoint (collectively, "NexusPoint Materials") are the exclusive property of NexusPoint or its licensors.
  • These Terms do not grant you any right, title, or interest in NexusPoint Materials except the limited right to use the Platform as described herein.
  • You may not copy, reproduce, modify, distribute, display, perform, create derivative works from, or commercially exploit any NexusPoint Materials without our prior written consent.

6.2 Your Content

  • You retain all rights to images and content you upload to or process through NexusPoint.
  • By uploading content, you grant NexusPoint a limited, non-exclusive, royalty-free license to process, transmit, and temporarily store your content solely for the purpose of providing the requested AI services.
  • You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process the content you submit, and that such content does not infringe upon the intellectual property rights of any third party.

6.3 AI Outputs

  • AI-generated results (classifications, bounding boxes, segmentation masks, extracted text, etc.) are provided as data outputs. NexusPoint does not claim ownership of these outputs.
  • AI outputs are generated by third-party models and may contain inaccuracies. NexusPoint makes no warranty regarding the accuracy, completeness, or fitness of AI outputs for any particular purpose.

7. Third-Party Services

NexusPoint integrates with third-party service providers to deliver its functionality:

  • SentiSight.ai: Provides the underlying AI computer vision models. Your images are transmitted to SentiSight for processing under their terms and conditions.
  • Stripe, Inc.: Handles all payment processing. Your use of payment services is subject to Stripe's Terms of Service.
  • MongoDB Atlas: Provides cloud database services for data storage.
  • Vercel: Provides application hosting and content delivery infrastructure.

NexusPoint is not responsible for the availability, functionality, accuracy, data practices, or terms of any third-party service. Third-party services may have their own terms of service and privacy policies that govern your use. We encourage you to review them.

8. Disclaimers & Limitation of Liability

8.1 "As Is" Disclaimer

IMPORTANT

NEXUSPOINT AND ALL ASSOCIATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • We do not warrant the accuracy, reliability, completeness, or timeliness of any AI-generated outputs.
  • We do not warrant that the Platform will meet your specific requirements or expectations.
  • AI model outputs should not be used as the sole basis for decisions that may have significant legal, financial, medical, safety, or other consequential implications.

8.2 Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXUSPOINT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NEXUSPOINT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100.00).
  • These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if NexusPoint has been advised of the possibility of such damages.

8.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless NexusPoint, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or any services provided through it.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Content you upload, transmit, or process through NexusPoint, including any claim that such content infringes the intellectual property rights, privacy rights, or other rights of any third party.
  • Your negligence or willful misconduct.
  • Unauthorized use of your account or API tokens, unless caused solely by our failure to maintain reasonable security measures.

10. Termination & Suspension

10.1 Termination by You

  • You may stop using NexusPoint and request account deletion at any time by contacting support@nexuspoint.ai.
  • Upon account deletion, your remaining credits are forfeited unless a refund is requested within the 30-day refund window per Section 4.4.

10.2 Termination by NexusPoint

  • We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk.
  • We may suspend or terminate your account with 30 days' notice for any other reason, including discontinuation of the Platform.
  • We reserve the right to refuse service to anyone for any reason at any time.

10.3 Effect of Termination

  • Upon termination, your right to access and use the Platform immediately ceases.
  • All API tokens associated with your account will be permanently revoked.
  • Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Indemnification), 11 (Governing Law), and 12 (Dispute Resolution) survive any termination of these Terms.
  • We are not liable to you or any third party for any termination of your access to the Platform.

11. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
  • The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
  • Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal claim, you agree to attempt to resolve any dispute informally by contacting us at support@nexuspoint.ai. We will attempt to resolve the dispute within 30 days. If we cannot resolve the dispute informally, either party may proceed with formal proceedings as described below.

12.2 Binding Arbitration

  • Any dispute that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
  • Arbitration shall take place in San Francisco, California, or via video conference at the election of either party.
  • The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST NEXUSPOINT.

13. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable supplemental terms, constitute the entire agreement between you and NexusPoint regarding your use of the Platform.
  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: NexusPoint shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, power failures, internet disruptions, cyberattacks, or failures of third-party services.
  • Notices: We may provide notices to you via email (to the address associated with your account), in-platform notifications, or updates to this page. You may provide notices to us at support@nexuspoint.ai.
  • Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.

By creating an account or using NexusPoint, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please discontinue use of our platform immediately.
